These General Terms and Conditions ("Terms") apply to all sales and services offered by NEUROSPEC AG and NEUROSPEC Australia (collectively referred to as "NEUROSPEC"), including those made via our website, webshop, through direct quotations and purchase orders, or other official sales channels. By placing an order, the customer agrees to be bound by these Terms unless aspecific written agreement supersedes them. Any conflicting terms in customer purchase orders are hereby rejected unless expressly agreed to in writing by NEUROSPEC AG or NEUROSPEC Australia.

Product information, including pricing, descriptions, availability, and specifications, are subject to change without notice. Prices exclude MWST/VAT/TVA/IVA/GST and applicable customs duties unless explicitly stated. Quoted pricesare valid for 30 days unless otherwise specified.
All efforts are made to ensure the accuracy of product information, but NEUROSPEC AG and NEUROSPEC Australia make no warranties as to the completeness or suitability of information for a specific application. Illustrations on the website or in brochures may differ from the actual product appearance.
All content on our website, webshop and documentation including but limited by text, images, logos, diagrams, layout is protected by intellectual property laws. You may not reproduce or distribute content without NEUROSPEC’s prior written consent.
Orders may be placed via our webshop, via email (purchase order), or by accepting an official NEUROSPEC quotation. For high-value systems and institutional orders, the purchase order or written acceptance of a NEUROSPEC quotation constitutes a binding order.
NEUROSPEC AG and NEUROSPEC Australia reserve the right to reject any order without providing a reason. Orders cancelled by the customer after confirmation may be subject to a 20% restocking fee if procurement has already commenced.
Delivery timelines vary by product. In-stock items are typically shipped within one business day. System components or special-order items may have extended lead times, communicated during order confirmation.
Unless otherwise agreed, NEUROSPEC will consolidate orders into one shipment. Partial shipments can be arranged on request, where additional shipping and insurance charges may apply. Freight, shipping and insurance charges are added at checkout or invoiced separately for quotation-based sales.
Customers are responsible for import clearance and related costs unless alternative arrangements are made. Title and risk of loss transfer upon shipment.

After an order has been submitted and the payment status has been marked "Paid", we will either send out the goods (if in stock) or order the goods from either suppliers or manufacturers.
If the terms of payment have been accepted and granted, however, payments are made late, NEUROSPEC AG may request immediate payment and suspend any further product deliveries to the customer. NEUROSPEC AG levies reminder fees and interest on the pending order and will require prepayment on future orders.
Unless otherwise stated, payment will bemade by three possible means:
For international customers, the payment terms are prepayment; for Swiss customers payment terms are net 10 days, unless otherwise agreed.
Subject to your rights under the Swiss and Australian Consumer Law, consumables and custom items are generally non-returnable unless found to be defective or not as described. Defective items must be returned within 7 days of delivery with prior approval (RMA required). Approved returns must be:
A 20% restocking fee may apply. The customer is responsible for return shipping unless otherwise agreed. Refunds exclude original shipping costs.
Accessories and components are warranted for 60 days unless otherwise specified. Physiological measurement and other systems sold by NEUROSPEC typically carry a 12-month warranty from the date of delivery. Warranty covers material and workmanship defects. It excludes damage caused by misuse, improper installation, or unauthorized modifications.
This warranty does not affect any mandatory legal rights of consumers under Swiss or Australian law.
NEUROSPEC AG and NEUROSPEC Australia offer on-site and online installation and training services, billed separately unless specified in a bundled offer. Travel costs, accommodation, and per diem fees may apply and will be outlined in the quotation.
All NEUROSPEC AG and NEUROSPEC Australia products are intended for research use only and not for clinical or diagnostic purposes unless explicitly certified. NEUROSPEC AG and NEUROSPEC Australia are not liable for indirect, incidental, or consequential damages resulting from the use of their products.
The customer agrees to comply with all applicable export control laws and regulations. Products may not be used in embargoed countries or for prohibited end-uses.
For NEUROSPEC AG, these Terms are governed by Swiss law. Any disputes arising from them shall be subject to the exclusive jurisdiction of the courts in Stans, Switzerland.
For NEUROSPEC Australia, these Terms are governed by the laws of New South Wales, Australia. Any disputes arising from them shall be subject to the exclusive jurisdiction of the courts of Sydney, Australia.

This Fair Trade Policy defines our minimum standards that all Suppliers must adhere to in order to trade with NEUROSPEC AG. This policy also applies to (not exclusively) sub-contractors, traders, retailers, distributors, wholesalers, designers, licensees, importers, manufacturers or organizers of production that in any way form part of the chain of supply to NEUROSPEC AG. Suppliers are responsible for ensuring all their sub-contractors and suppliers (including labor, materials or goods and services) used in relation to products provided to NEUROSPEC AG comply with this Fair Trade Policy. Methods of production used by Suppliers must not involve exploitation or endanger the health and safety of any persons or the environment. NEUROSPEC AG requires all Suppliers to fully obey the laws of the countries in which they function. This includes (but not exclusively) all laws related to employment, safety, the environment and business operations. All standards outlined in NEUROSPEC AG’s Fair Trade Policy are expected to be followed in addition to relevant local legislation.

Suppliers shall not use child labor. Due to their vulnerability, NEUROSPEC AG believes that children deserve extra protection from exploitation. Children should have the opportunity, where possible, to participate in education up to the compulsory age limit deemed by local laws. Work should not interfere with a child’s education. NEUROSPEC AG supports participation in legitimate apprenticeship or trainee programs to educate and assist students under school-leaving age (e.g. 15-16 year old) and legitimate casual work where appropriate, providing the work is light in nature, is performed in safe conditions and does not involve exploitation.
The decision to work must be freely chosen by all workers. Suppliers shall not use compulsory or involuntary labor, slavery or debt bondage. Workers must be genuinely free to terminate their employment at any stage with reasonable notice.
The Supplier must set out in writing for its worker’s clear terms of employment, including wages, benefits and conditions for a regular working week. Workers must be paid at or above the local legal minimum wage for the work performed. The Supplier must not use contracts, trial periods or other arrangements to avoid legal obligations for pay and conditions.
Ordinary hours of work shall be consistent with local legislation. All overtime must be voluntary and without coercion and should be duly paid in accordance with the agreed conditions of employment and local laws.
NEUROSPEC AG believes that all people must equally be treated with dignity and respect. Suppliers will not use (either actual or implied) any physical, sexual, emotional forms of harassment, abuse, discipline or intimidation with any of their workers.
Suppliers are to avoid using discriminatory words, actions or behavior. A worker’s ability to do the job should determine their employment and all associated conditions, rather than discrimination based on non work-related factors, such as race, religion, gender, personal situations or beliefs.
Workers must not be disadvantaged or prevented from forming or joining communities which raise issues relating to mutual protection and dignity in wages and working conditions.
Suppliers will provide a clean and safe workplace, including providing plant, equipment and work processes that do not pose a risk to the health and safety of their workers. Staff must also receive adequate training and supervision to ensure their safety.

We also expect our Suppliers to follow equivalent standards in their operations. NEUROSPEC AG (and its representatives) reserve the right to visit Supplier factories or facilities with or without prior notice to ensure adherence to this Policy. Breaches of this policy will be registered with the Supplier’s management for investigation and action as appropriate.
If deemed appropriate, action taken by NEUROSPEC AG may include ceasing trade with the relevant Supplier.
